These Terms of Service (“Terms”) govern your access to and use of the CorpusFabric platform, website, and related services (collectively, the “Service”) provided by CorpusFabric, Inc. (“CorpusFabric,” “we,” “us,” or “our”). By accessing or using the Service, you agree to be bound by these Terms.

1. Acceptance of Terms

By creating an account, accessing, or using the Service, you agree to these Terms and our Privacy Policy. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms. If you do not agree, you may not access or use the Service.

2. Service Description

CorpusFabric is an AI-powered document intelligence platform that enables organizations to upload, process, search, and query their document libraries using natural language. The Service includes document ingestion, semantic search, AI-powered chat with citations, public-facing chat widgets, automated reports, and related features.

3. Account Responsibilities

You are responsible for:

  • Providing accurate and complete registration information
  • Maintaining the confidentiality of your account credentials
  • All activities that occur under your account
  • Notifying us immediately of any unauthorized use of your account
  • Ensuring that all users within your organization comply with these Terms

We reserve the right to suspend or terminate accounts that violate these Terms or that show signs of unauthorized access.

4. Acceptable Use Policy

You agree not to use the Service to:

  • Upload, store, or process content that is unlawful, harmful, threatening, defamatory, or otherwise objectionable
  • Violate any applicable local, state, national, or international law or regulation
  • Infringe upon the intellectual property rights of any third party
  • Attempt to gain unauthorized access to any part of the Service or its related systems
  • Interfere with or disrupt the Service or the servers and networks connected to it
  • Reverse engineer, decompile, or disassemble any part of the Service
  • Use the Service to build a competing product or service
  • Use automated means to scrape or extract data from the Service beyond what our API permits

5. Document Data Ownership

You retain all rights, title, and interest in the documents and data you upload to the Service (“Customer Data”). CorpusFabric does not claim ownership of your Customer Data.

By uploading documents, you grant CorpusFabric a limited, non-exclusive license to process, store, and analyze your Customer Data solely for the purpose of providing and improving the Service. We will not share your Customer Data with third parties except as described in our Privacy Policy or as necessary to provide the Service (for example, sending content to our AI providers to generate responses).

We do not use your Customer Data to train machine learning models.

6. AI-Generated Content Disclaimer

The Service uses artificial intelligence to generate responses, summaries, reports, and other outputs based on your documents (“AI Outputs”). While we strive for accuracy and always provide source citations:

  • AI Outputs may contain errors, omissions, or inaccuracies
  • AI Outputs should not be relied upon as legal, medical, financial, or professional advice
  • You are responsible for reviewing and verifying AI Outputs before making decisions based on them
  • CorpusFabric does not guarantee the accuracy, completeness, or reliability of any AI Output

Source citations are provided to help you verify information against original documents. We strongly recommend that users check cited sources for accuracy.

7. Billing and Payment

Paid plans are billed in advance on a monthly or annual basis through our payment processor, Stripe. By subscribing to a paid plan, you agree to the following:

  • You authorize us to charge your payment method for the applicable subscription fees
  • Subscriptions automatically renew unless cancelled before the end of the current billing period
  • You may cancel your subscription at any time through the platform settings
  • Refunds are provided at our discretion; we generally do not offer refunds for partial billing periods
  • We may change pricing with 30 days advance notice; continued use after a price change constitutes acceptance
  • Overdue payments may result in suspension or termination of your account

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CORPUSFABRIC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICE.

OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, our liability is limited to the greatest extent permitted by law.

9. Indemnification

You agree to indemnify, defend, and hold harmless CorpusFabric and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorney fees) arising out of or related to your use of the Service, your violation of these Terms, or your violation of any rights of a third party.

10. Termination

Either party may terminate this agreement at any time. You may cancel your account through the platform settings or by contacting support. We may suspend or terminate your access to the Service if you violate these Terms, fail to pay applicable fees, or if we determine in our sole discretion that continued access poses a risk to the Service or other users.

11. Data Export on Cancellation

Upon cancellation or termination of your account, you will have 30 days to export your Customer Data through the platform. After 30 days, we will delete your Customer Data from our active systems. Backup copies will be purged within 90 days of deletion. If you need assistance exporting your data, contact our support team.

12. Service Availability

We strive to maintain high availability of the Service but do not guarantee uninterrupted or error-free operation. We may occasionally perform maintenance, updates, or modifications that temporarily affect availability. We will provide reasonable advance notice of planned maintenance when possible.

13. Intellectual Property

The Service, including its software, design, features, and documentation, is owned by CorpusFabric and protected by intellectual property laws. These Terms do not grant you any right, title, or interest in the Service beyond the limited right to use it in accordance with these Terms.

14. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved in the state or federal courts located in Delaware, and you consent to the personal jurisdiction of those courts.

15. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on this page, updating the effective date, and sending you an email notification. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
